Short version: be cool, don't break the app, don't misuse other people's data, and understand that we recommend things — what you actually do with the night is on you. The rest of this page is the long version.
01 The agreement
These Terms of Service ("Terms") are a contract between you and myannai ("myannai," "we," "us"). They govern your access to and use of the myannai website at myannai.app, our mobile and web apps, and any related services (the "Service").
By joining the waitlist, creating an account, or otherwise using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, don't use the Service.
02 Eligibility
You must be at least 16 years old to join the waitlist or use the Service. You must be at least the age of legal majority in your jurisdiction to enter into binding contracts. If you're using the Service on behalf of a business (e.g. a venue partner), you confirm you're authorized to bind that business.
03 Your account
You're responsible for keeping your login credentials confidential.
You're responsible for everything that happens on your account.
Don't share your account, and don't create accounts using someone else's identity.
Notify us immediately if you suspect unauthorized access.
We may suspend or close accounts that violate these Terms, that we reasonably believe pose a security or legal risk, or that have been inactive for an extended period.
04 Waitlist & referrals
The waitlist is provided on a first-come, first-served basis, with priority adjustments based on referrals, location, and account type at our reasonable discretion. A waitlist signup does not guarantee access to the Service or any particular launch date.
Referrals: each waitlist signup receives a personal referral code. When someone signs up using your code, your queue position improves by the number of spots stated in the success screen. We may adjust the referral mechanic — including the boost amount and any cap — at any time. Buying, selling, scripting, or automating signups is prohibited and will void referral credits and forfeit your spot.
Founder badges, bonus XP, city pins, and similar early-access perks are promotional and have no monetary value. We may modify or discontinue them.
05 Acceptable use
You agree not to:
Use the Service for any unlawful purpose, or to harass, threaten, or harm anyone.
Scrape, crawl, or extract data from the Service without our written permission.
Reverse engineer, decompile, or otherwise attempt to derive source code, except as expressly permitted by law.
Interfere with, overload, or attempt to compromise the Service's security or integrity.
Upload viruses, malware, or anything else harmful.
Impersonate any person or misrepresent your affiliation with anyone.
Submit fake reviews, fake votes, or manipulated content.
Use the Service to send unsolicited commercial messages.
Resell, sublicense, or commercially exploit the Service without our written permission.
06 User content
You may submit content to the Service — reviews, ratings, taste chips, messages to Annai, profile info, photos, plans, crew names, votes, and similar ("User Content").
You keep ownership
You own your User Content. By submitting it, you grant myannai a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting), display, and distribute your User Content for the purpose of operating, improving, and promoting the Service. This license ends when you delete the User Content, except as needed for backups, legal records, or content shared with others before deletion.
Your responsibility
You represent that your User Content is yours to submit, doesn't infringe anyone's rights, and complies with the law.
Moderation
We may remove or refuse User Content that violates these Terms, our community guidelines, or the law — without prior notice. We have no obligation to monitor User Content, but we may.
07 AI recommendations
The Service includes "Annai," our AI city guide, which generates recommendations, plans, and conversational responses. AI output is provided for informational purposes only and may be inaccurate, incomplete, or out of date. Hours, prices, menus, availability, and venue details change.
You're responsible for your decisions. Always confirm critical details — reservations, allergies, accessibility, age requirements, transportation, safety — directly with the venue or relevant authority. We are not liable for losses or harms arising from your reliance on AI-generated recommendations.
Don't input sensitive personal information, regulated data, or anything you wouldn't want stored. Don't rely on Annai for medical, legal, financial, or safety-critical decisions.
08 Venue partners
If you sign up as a venue partner, you agree that:
You're authorized to represent the venue and to grant the rights below.
Information you submit about your venue is accurate and may be displayed publicly in the Service.
You grant us a non-exclusive license to display your venue name, logo, photos, and details within the Service.
Featured-placement, partnership tiers, and analytics are governed by your separate partner agreement (or, if none, by our then-current partner terms).
You will not pay or incentivize users to submit fake reviews of your venue.
09 Payments
The core user app is free. Some features (partner placements, premium tiers we may introduce) require payment.
Prices, currencies, and billing cycles will be shown at checkout.
Payments are processed by a third-party processor (e.g. Stripe); we never store your full card number.
Subscriptions auto-renew unless cancelled before the renewal date.
Except where required by law, fees are non-refundable. Refund requests are reviewed case-by-case at hello@myannai.app.
You're responsible for all applicable taxes.
10 Our intellectual property
The Service — including the myannai name, "Annai," the wordmark, the kanji glyph, the design, the software, the UI, the curated content, and the AI prompts and models we develop — is owned by myannai or its licensors and protected by intellectual property laws. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service under these Terms.
You may not copy, modify, distribute, sell, lease, or create derivative works of any part of the Service, except as expressly permitted in these Terms.
Feedback you send us is non-confidential and we may use it without obligation to you.
11 Third-party links & venues
The Service may link to, or display, third-party content — venue websites, maps, reservation systems, social media. We don't control and aren't responsible for that content. Your interactions with venues, restaurants, bars, or other third parties are between you and them.
12 Suspension & termination
You can stop using the Service and delete your account at any time. We can suspend or terminate your access at any time, with or without notice, if you violate these Terms, if your use poses a risk, or if we discontinue the Service.
Sections that by their nature should survive termination (e.g. IP, disclaimers, liability, indemnity, disputes, governing law) will survive.
13 Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied — including merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability. We do not warrant that the Service will be uninterrupted, error-free, or that AI recommendations will be accurate.
Some jurisdictions don't allow the exclusion of certain warranties. In those jurisdictions, the above exclusions apply to the maximum extent permitted by law.
14 Limitation of liability
To the maximum extent permitted by law:
myannai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages — including lost profits, lost data, or loss of goodwill — arising from your use of the Service.
Our total liability to you for any claim arising from these Terms or the Service will not exceed the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100.
Some jurisdictions don't allow these limits. In those, our liability is limited to the smallest amount permitted by law.
15 Indemnity
You agree to indemnify and hold myannai and its officers, employees, and agents harmless from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising from your User Content, your use of the Service, or your breach of these Terms.
16 Disputes & arbitration
Please read this section carefully — it affects your legal rights.
Most disputes can be resolved quickly by emailing hello@myannai.app. If that doesn't work, you and myannai agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Pinellas County, Florida (or remotely, if you prefer).
Class-action waiver. You and myannai agree that each may bring claims only in your or its individual capacity, and not as a plaintiff or class member in any class or representative proceeding.
30-day opt-out. You may opt out of this arbitration agreement by emailing hello@myannai.app with "Arbitration Opt-Out" in the subject line within 30 days of first accepting these Terms.
Either party may seek injunctive relief in court to protect intellectual property or stop unauthorized use of the Service. Small-claims actions in your local small-claims court are also exempt from this arbitration provision.
17 Governing law & venue
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-laws principles. For any matter not subject to arbitration, the exclusive jurisdiction lies with the state and federal courts located in Pinellas County, Florida. If you live outside the US, mandatory consumer-protection laws of your country of residence still apply.
18 Miscellaneous
Entire agreement: these Terms and the Privacy Policy are the full agreement between us about the Service.
Severability: if a court finds any provision unenforceable, the rest of the Terms still apply.
No waiver: our failure to enforce a provision is not a waiver of our right to enforce it later.
Assignment: you may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
Force majeure: we're not liable for delays caused by events beyond our reasonable control.
Changes to the Terms: we may update these Terms. If we make material changes, we'll notify you by email or in-app and update the "Last updated" date above. Continued use means acceptance.
